Terms of Service

By accessing or using QuickBiz (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

“QuickBiz,” “we,” “us,” or “our” refers to the entity operating quickbiz.io. “You” refers to the individual or entity accessing the Service.

QuickBiz provides the following services:

• LLC formation assistance (filing state paperwork on your behalf)
• EIN application assistance
• Software-business operating agreement generation
• Registered agent services (through Northwest Registered Agent)
• Post-formation software founder checklist
• Compliance calendar and deadline tracking
• Optional add-on document templates (IP assignment, Terms of Service, Privacy Policy)
• Digital document storage and delivery

Services are subject to change. We will notify you of material changes to the Service with reasonable advance notice.

You agree to:

• Provide accurate and complete information during registration and onboarding
• Keep your account credentials secure and not share them with others
• Notify us immediately of any unauthorized account access
• Use the Service only for lawful business purposes
• Not attempt to reverse engineer, hack, or abuse the Service
• Not use the Service to facilitate fraudulent or illegal activity
• Maintain your own records. QuickBiz is a tool, not a substitute for proper recordkeeping
• Review and verify all documents before signing or filing

You are responsible for the accuracy of information you provide. QuickBiz is not responsible for errors resulting from inaccurate information you submit.

• Formation fee: QuickBiz charges a one-time $150 LLC formation service fee, plus applicable state filing fees. State fees vary by state and are separate from our service fee.
• Add-on services: Optional add-on services (e.g., IP Assignment, Terms of Service template, S-Corp election) are priced separately and added during checkout.
• Registered agent: Registered agent service is included with formation. Ongoing coverage is part of the compliance plan ($10/month or $15/month depending on your tier).
• Billing: Payments are processed by Stripe as a one-time charge at checkout.
• Refund policy: If we have not yet submitted your formation to the state, you may request a full refund. State filing fees are non-refundable once submitted.

• You can download your formation documents at any time from your dashboard
• If you delete your account, we retain your data for 90 days, then delete it (except legally required filing records)
• LLC and EIN services already completed cannot be reversed or refunded as these involve state filings

QuickBiz is not a law firm. QuickBiz is not a CPA firm. Nothing in the Service or communications from QuickBiz constitutes legal advice, tax advice, or professional advice of any kind.

The LLC formation service is a document preparation and filing service. We help you complete and submit paperwork. This is not the same as legal representation.

Document templates (operating agreements, Terms of Service, Privacy Policy) are general templates, not customized legal documents. Consult a licensed attorney if your situation requires customized legal documentation.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUICKBIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Tax penalties, interest, or underpayments
• IRS audits or enforcement actions
• State filing errors or delays outside our control
• Loss of business or revenue
• Data loss (though we maintain backups)

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

The Service, including all software, design, text, and materials, is owned by QuickBiz and protected by intellectual property laws. You may not copy, reproduce, or create derivative works without express written permission.

You retain ownership of your business data. By using the Service, you grant QuickBiz a limited license to process your data to provide the Service.

You agree to indemnify and hold QuickBiz harmless from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) inaccurate information you provide; or (d) your violation of any third-party rights.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with the changes, you may stop using the Service.
